										<content:encoded><![CDATA[<p><strong>TERMS OF REFERENCE (TOR) </strong><strong>FOR ASSET VERIFICATION, CONDITION ASSESSMENT AND VALUATION OF TAWLA ASSETS</strong></p>
<p><strong>1: ABOUT TAWLA</strong></p>
<p>Tanzania Women Lawyers Association (TAWLA) is a Non-Governmental Organization established          in 1989 and registered under the Societies Act of 1990. The organization is compliant with the NGOs Act of 2002 though obtained an NGOs status in 2019.</p>
<p>The aims and objectives of the organization are to advocate for gender equality and to promote human dignity and gender justice through policy, community action, media engagement, and legal and institutional reforms.</p>
<p>To this end, TAWLA envisages a society that respects, upholds, and enhances responsibilities and empowers women. Its mission is to collaborate with relevant stakeholders in creating a conducive legal and policy environment, providing diverse platforms on sectoral reform, and ensuring access to justice through legal aid services, advocacy, awareness raising, strategic litigation, and research and publications on issues affecting women and children<strong>. </strong></p>
<p><strong>2: PURPOSE OF THE ASSIGNMENT</strong></p>
<p><strong> </strong>The purpose of this assignment is to conduct an independent and comprehensive verification, condition assessment, and valuation of TAWLA assets held at its Head Office and four regional offices located in Arusha, Mwanza, Dodoma, and Tanga.</p>
<p><strong>3: OBJECTIVES</strong></p>
<p>The overall objective of the assignment is to establish a fair and reasonable valuation of the assets based on market value and, where applicable, the market rent or current lease rate for rental or leasing purposes. The specific objectives are to:</p>
<p>i.  Physically verify all assets recorded in TAWLA&#8217;s existing asset register.</p>
<p>ii: Identify assets appearing in the register but which cannot be physically located.</p>
<p>iii. Assess the physical condition, functionality, and usability of each asset.</p>
<p>iv: Determine the current value of assets using appropriate and professionally accepted valuation methods.</p>
<p>v: Identify obsolete, damaged, idle, redundant, or non-functional assets.</p>
<p>vi. Reconcile the physical verification results with TAWLA&#8217;s existing asset records.</p>
<p><strong>4: SCOPE OF SERVICES</strong></p>
<p>The assignment shall cover TAWLA assets located at the Head Office and the designated regional offices and locations. The scope shall include, but not be limited to, the following asset categories: computers and accessories, office furniture and fittings, land and buildings, office equipment, and motor vehicles.</p>
<p><strong>5: VALUATION METHODOLOGY</strong></p>
<p>The consultant shall apply valuation methods appropriate to the nature and category of the assets.</p>
<p>The methodology may include, as appropriate:</p>
<p>i. Market approach/current fair value approach;</p>
<p>ii. Historical cost approach;</p>
<p>iii. Other recognized professional valuation methods.</p>
<p>The consultant shall clearly explain the methodology and assumptions applied in determining the value of each category of asset.</p>
<p>Where market information is unavailable, the consultant shall provide a reasonable professional basis for the valuation.</p>
<p><strong>6: EXPECTED DELIVERABLES</strong></p>
<p>i.  To submit a valuation report shall be comprehensive and shall contain all data required for transfer purposes, together with any other disclosures necessary for proper valuation of the report shall clearly and accurately present the valuation conclusions in a manner that is not misleading, including a professional opinion on the market value and market rent of the properties.</p>
<p>ii.  The valuation report shall be submitted in three (2) original hard copies, together with a soft copy in PDF format and dated photographs of the subject assets in JPG format.</p>
<p>iii. The Chief Valuer or other relevant competent authority shall approve the valuation report where applicable.</p>
<p><strong>7: DURATION OF THE ASSIGNMENT</strong></p>
<p><strong> </strong>The assignment is expected to be completed within <strong>14 days from</strong> the date of commencement of the agreement. Any proposed changes to the agreed schedule shall be communicated to and approved by TAWLA in advance.</p>
<p><strong>8: CONSULTANT/COMPANY QUALIFICATIONS</strong></p>
<p>The consultant/company must demonstrate the following:</p>
<p>i. Relevant professional qualifications in asset valuation, valuation surveying, accounting, auditing, asset management, or a related field;</p>
<p>ii. Valid professional registration and/or practicing licence where required;</p>
<p>iii. Appropriate technical capacity to conduct the assignment.</p>
<p>iv. At least <strong>three (3)</strong> years of relevant experience in asset verification, assessment, valuation, or related assignments;</p>
<p>v. Successfully undertaken similar assignments for NGOs, companies, government institutions, or other organizations;</p>
<p>vi. Demonstrable knowledge of asset management and valuation practices.</p>
<p><strong>9: PROPOSAL REQUIREMENTS</strong></p>
<p>Interested consultants/companies shall submit both a <strong>Technical Proposal</strong> and <strong>Financial Proposal.</strong> The technical proposal shall include:</p>
<ol>
<li>Company/consultant profile;</li>
<li>Certificate of incorporation/registration, valid business licence, relevant professional registration, and tax clearance certificate;</li>
<li>Evidence of relevant experience with at least three similar assignments undertaken;</li>
<li>At least three references/contact details for previous clients;</li>
<li>Understanding of the assignment and proposed methodology;</li>
<li>Work plan and implementation schedule;</li>
<li>Proposed team and CVs of key personnel;</li>
<li>Any other relevant supporting documents.</li>
<li>The financial proposal shall provide a detailed and transparent cost breakdown, including professional fees, transport/travel costs, taxes and statutory charges, and any other applicable costs. All costs shall be quoted in <strong>Tanzanian Shillings (TZS</strong><strong>)</strong>.</li>
</ol>
<p><strong> 10: </strong><strong>CONFIDENTIALITY AND DATA PROTECTION</strong></p>
<p>The consultant/company shall maintain strict confidentiality regarding all information obtained during the assignment.</p>
<p>All documents, financial information, asset records, photographs, staff information, and other data accessed during the assignment shall be treated as confidential.</p>
<p>The consultant shall comply with applicable data protection and confidentiality requirements and shall not disclose or share TAWLA information with any third party without prior written authorization from TAWLA, except where disclosure is legally required.</p>
<p><strong>11: OWNERSHIP OF WORK AND DELIVERABLES</strong></p>
<p>All information, data, reports, asset registers, valuation schedules, photographs, databases, and other materials produced during the assignment shall remain the property of TAWLA.</p>
<p>The consultant/company shall not reproduce, publish, distribute, or use any such information for purposes unrelated to this assignment without prior written authorization from TAWLA.</p>
<p><strong>12: PAYMENT TERMS</strong></p>
<p><strong> </strong>Payment shall be made in accordance with the contract agreed between TAWLA and the successful consultant/company.</p>
<p>Payment shall be linked to satisfactory completion and acceptance of the agreed deliverables.</p>
<p>The payment schedule shall be agreed upon during contract negotiations.</p>
<p><strong>13: CONFLICT OF INTEREST</strong></p>
<p>The consultant/company shall disclose any actual, potential, or perceived conflict of interest that may affect its independence or objectivity in carrying out the assignment. The consultant shall maintain professional independence throughout the assignment and shall not allow any personal, financial, or other interest to influence the results of the asset evaluation and valuation.</p>

<p><strong> 1: </strong><strong>ABOUT TAWLA</strong></p>

<p>The aims and objectives of the organization are to advocate for gender equality and to promote human dignity and gender justice through policy, community action, media engagement, and legal and institutional reforms.</p>
<p>To this end, TAWLA envisages a society that respects, upholds, and enhances responsibilities and empowers women. Its mission is to collaborate with relevant stakeholders in creating a conducive legal and policy environment, providing diverse platforms on sectoral reform and ensuring access to justice through legal aid services, advocacy, awareness raising, strategic litigation, and research and publications on issues affecting women and children.</p>
<p>TAWLA has its headquarters in Dar es Salaam at Plot 31, Ilala Amana Street, and branch offices at Arusha, Tanga, Mbeya, Mwanza, and Dodoma. As a way of expanding its outreach TAWLA also networks with other legal aid providers as well as working with paralegals that have been established by TAWLA to enable poor women and children to access legal aid services in the regions where TAWLA does not have branch office. Currently, TAWLA has over 350 members, who include women lawyers from diverse backgrounds such as state attorneys, private advocates, judges, magistrates, corporate Boards, academics, and legal advisors in both the public and the private sector.</p>
<p>TAWLA is undertaking several programs supported by development partners and using internal generated funds. TAWLA is required by its constitution to be audited annually and reported to its members during the Annual General Meeting with its fiscal year running from January to December each year. The Audited financial statements are shared with Registrar of NGO, development partners, and other relevant stakeholders. TAWLA invites applications from qualified and experienced audit firms to perform annual audit of the Financial Statements of 2026.</p>
<p><strong>2: AUDIT OBJECTIVES</strong></p>
<p>The objective of TAWLA audit is to obtain reasonable assurance that the financial statements reflect a true and fair view of the financial position of the organization. The audit will be performed in accordance with under International Public Accounting Standards (IPSAs and International Standards of Auditing (“ISA”).</p>
<p>The audit report will include the Independent Auditors Report (Opinion) on the financial statements. The audit will also include such other required schedules or analyses as TAWLA has determined are necessary in order to ensure that programs resources are properly managed. The auditors should assess the organization’s compliance with the provisions of the Tanzania NGO Act of 2002 and other relevant applicable regulatory authorities.</p>
<p><strong>3: SCOPE OF WORK</strong></p>
<p>The successful External Auditor will audit TAWLA. The audit will be in conformity with under International Public Accounting Standards(IPSAs and International Standards of Auditing (“ISA”). The findings and recommendations shall include an action plan for TAWLA organizational and accounting improvements depending on findings and their implications and shall accommodate management comments.</p>
<p><strong>4: DUTIES AND RESPONSIBILITIES OF THE AUDITOR </strong></p>
<p>The external auditor shall be required to perform risk-based audits, compliance audits, and performance-based audits. Roles, duties, and responsibilities shall include the following:</p>
<p>i) Conducting independent audits of TAWLA’s operations in line with International Standards on Auditing and International Public Accounting Standards (IPSAs.</p>
<p>ii) Expressing an opinion on whether the financial statements are prepared, in all material respects, in accordance with the applicable financial reporting standards and frameworks, whether TAWLA has maintained proper books of accounts, and whether the accompanying financial statements give a true and fair view of the financial position and performance of the organization.</p>
<p>iii) Reviewing and evaluating TAWLA’s internal control system and advising Management and the Board on adequacy/effectiveness of the system and proposals for its improvements.</p>
<p>iv) Assessing utilization of resources for effectiveness, efficiency, and economy as well as identification of opportunities for improvement.</p>
<p>v) Ensuring the organization adheres to corporate governance requirements and legislation that governs the organization.</p>
<p>vi) General review of implementation of programs to ascertain whether they are consistent with program objective as set in program designs.</p>
<p>vii) Providing any other value-addition services as approved by the Board of Directors.</p>
<p><strong>5: ELIGIBILITY CRITERIA</strong></p>
<p>Eligible Audit firms should meet the following criteria:</p>
<p>i) Experience of the audit firm with audit reporting under International Public Accounting Standards (IPSAs)) and International Standards on Auditing (ISA)</p>
<p>ii) At least three (3) references or recommendations for similar audits performed within the last three years.</p>
<p>iii) Provide Audit Methodology, Proposed Work-plan, Curriculum Vitae for the partner, manager and key staff proposed for the audit team</p>
<p>iv) Proven experience in auditing Civil Society Organizations, with a track record of handling similar assignments.</p>
<p>v) The firm must employ qualified auditors with relevant experience, specifically those engaged in full-time auditing work. The firm must provide a list of auditors assigned to this audit.</p>
<p>vi) The firm must be registered with the National Board of Accountants and Auditors (NBAA) and provide its NBAA registration number.</p>
<p>vii) The firm must demonstrate compliance with all legal and regulatory requirements governing external auditors in Tanzania.</p>
<p>viii) Any actual or potential conflict of interest in taking up this role should be highlighted.</p>
<p><strong>6: DELIVERABLES:</strong></p>
<p>The key deliverables under this call are:</p>
<p>i) An Independent Auditor&#8217;s Opinion Report on the financial statements.</p>
<p>ii) Audited Financial Statements indicating if accounting standards have been applied and whether they reflect a true and fair view of the financial position of the organization</p>
<p>iii) To present the report to the Board of directors</p>
<p>iv) To complete the audit on time i.e., within 3 months after end of the year.</p>
<p>v) A Management Letter includes audit findings and recommendations related to the financial statements, internal controls, accounting systems, legal compliance, and other significant matters.</p>
<p><strong>7: SUBMISSION GUIDELINES</strong></p>
<p>i) The proposal submitted should have a maximum of <strong>25 PDF pages</strong> both technical and financial.</p>

<p style="text-align: left;">Tanzania Women Lawyers’ Association (TAWLA) is a Non-Governmental Organization established in 1989 and registered in 1990 under the Societies Act (Chapter 337 of the laws). The organization is compliant with the NGOs Act (Chapter 56 of the laws) and obtained NGO status in 2019. The aims and objectives of the organization are to advocate gender equality, promote human dignity and gender justice through policy, legal and institutional reforms, and community action and media engagement. TAWLA has its headquarters in Dar es Salaam and zonal offices in Arusha, Dodoma, Mbeya, Mwanza and Tanga. TAWLA envisage a society that respects and upholds the rights of women, and her mission is to advance women as champions in promoting and protecting the rights of women and good governance through legal empowerment.</p>
<p style="text-align: left;">In Africa, TAWLA works regionally with human rights accountability mechanisms as well as the African Union’s regional and sub-regional political organs. TAWLA’s Programs have secured numerous legal victories in national courts and regional accountability bodies that have improved women and girls’ rights including women land rights, women property rights and women economic rights.</p>
<p style="text-align: left;"><strong>2: Purpose of the Position</strong></p>
<p>The Volunteer Communications Officer will be an integral member of the Communications team at TAWLA Headquarters. The role will support a range of communications functions, including the development of multimedia content, branding and visibility initiatives, graphic design, and event management. To support the implementation of communication strategies, strengthen TAWLA’s brand presence and visibility, and assist in the efficient execution of daily communication activities</p>
<p>This position offers an opportunity to gain practical experience in a dynamic working environment while contributing to TAWLA’s communications and advocacy work.</p>
<p><strong>3: Primary Responsibilities</strong></p>
<p>i) <strong>Branding:</strong></p>
<ul>
<li>Assist in the creation of branded and visibility materials.</li>
<li>Assist with logistical tasks, such as venue branding and visibility, attendee management, and post-event evaluations.</li>
<li>Coordinate with external partners, vendors, and stakeholders as needed for joint campaigns or events.</li>
<li>Video and Photography</li>
<li>Capture high-quality photos and videos from TAWLA’s events and activities.</li>
<li>Maintain an organized image archive and collaborate with teams and partners to provide visual content that enhances our storytelling and communication efforts.</li>
</ul>
<p>ii) <strong>Graphics design:</strong></p>
<ul>
<li>Assist in the creation of visual content for digital and print materials, including social media posts, infographics, presentations, and promotional materials.</li>
<li>Collaborate with team members to conceptualize and design graphics that align with TAWLA’s brand guidelines and communication objectives.</li>
</ul>
<p>iii) <strong>Daily administration:</strong></p>
<ul>
<li>Provide administrative support to the communications team, including scheduling meetings, managing the team calendar and organizing files and documents.</li>
<li>Assist in drafting and proofreading internal and external communications, such as event briefs, articles, newsletters, and reports.</li>
<li>Support the team in procurement of communications products and review and submission of team reports.</li>
<li>Manage and track progress of the Communication workplan and budget.</li>
</ul>
<p>iv)<strong>Content Management:</strong></p>
<ul>
<li>Support content creation efforts by researching, writing, and editing engaging copies for various platforms, including website content, blog posts, and press releases.</li>
<li>Ensure timely publication of communication content across all relevant channels.</li>
</ul>
<p><strong>4) Supervision and Support:</strong></p>
<ul>
<li>The Volunteer Communications Officer will report directly to the Head of Programs.</li>
<li>For technical matters related to communications, the Volunteer Communications Officer will report to the Communications Officer.</li>
<li>The volunteer will receive guidance, mentorship, and regular feedback throughout the engagement period.</li>
<li>Periodic performance reviews will be conducted to monitor progress and support the volunteer’s professional development.</li>
</ul>
<p><strong>5) Key Requirements &amp; Skills</strong></p>
<ul>
<li><strong>Education &amp; Experience:</strong> At least Diploma in journalism, public relations, media studies, or related field, with 1-2 years of experience in communications.</li>
<li><strong>Communication Skills:</strong> Proven ability to produce high-quality advocacy reports, articles, newsletters, and press releases.</li>
</ul>
<ul>
<li><strong>Digital &amp; Technical Skills</strong>: Experience managing social media platforms and using design tools like Canva, Adobe Creative Suite (Illustrator, Photoshop, InDesign, Canva) or equivalent.</li>
</ul>
<ul>
<li><strong>Media &amp; Campaigns</strong>: Experience in organizing advocacy campaigns and engaging with media for public information.</li>
<li><strong>Soft Skills:</strong> Strong teamwork, ability to work independently under tight deadlines, and cultural sensitivity.</li>
</ul>

The position will provide essential administrative support while serving as the first point of contact for visitors, clients, and stakeholders. This dual role will enhance communication, improve customer service, support staff productivity, and ensure that administrative and reception functions are handled professionally and efficiently.</p>

<li><strong>PURPOSE OF THE POSITION</strong></li>

<p style="text-align: left;">The Administrative Assistant will provide administrative, clerical, and front desk support to ensure efficient office operations. The role serves as the first point of contact for visitors and callers while supporting internal administrative processes.</p>

<li><strong>KEY RESPONSIBILITIES</strong></li>
</ol>
<p>1: Front Desk &amp; Customer Service</p>
<ul>
<li>Serve as the first point of contact for visitors, clients, and stakeholders.</li>
<li>Receive, screen, and direct phone calls professionally.</li>
<li>Welcome guests, manage visitor logs, and ensure compliance with security procedures.</li>
<li>Maintain a clean, organized and professional reception area.</li>
</ul>
<p>2: Administrative Support</p>
<ul>
<li>Provide general administrative and clerical support to staff and management.</li>
<li>Prepare, type, and format correspondence, reports, and other documents.</li>
<li>Maintain proper filing systems (both electronic and hard copy).</li>
<li>Assist with record keeping and data entry.</li>
</ul>
<p>3: Communication &amp; Coordination</p>
<ul>
<li>Liaise with internal departments and external stakeholders as required.</li>
<li>Support management in coordinating administrative tasks and follow-ups.</li>
<li>Ensure confidentiality and proper handling of sensitive information.</li>

<li>Strong organizational and multitasking skills.</li>
